Terms and Conditions

1. Definitions & Interpretation

1.1 In this agreement the following definitions apply:

“Adult Coaching Services” means the subscription-based one-to-one or group coaching services for adult clients offered by us.

“Kids Coaching Services” means the subscription-based one-to-one coaching services for children aged 6-17 offered by us (excluding under 6 and over 17).

“Membership Services” means any self-led membership product (e.g., “ElocutionPro”) offered by us without live 1-to-1 coaching as standard.

“Accelerator / Premium Services” means any upgraded service including additional live sessions, premium coaches or other premium add-ons.

“Website” means our website (including any sub-domains) via which you access or order our Services and/or Memberships.

“Services” means any of the Adult Coaching Services, Kids Coaching Services, Membership Services, Accelerator/Premium Services or other service we offer.

“Subscription” means a repeating monthly payment contract for one of our Services, unless otherwise stated.

“You/Your/User/Client” means the person (or, in the case of Kids Coaching, the parent or legal guardian) purchasing or subscribing for the Services.

“We/Us/Our” means The Elocution Coach Ltd (company number [insert], registered address [insert], VAT number [if applicable]).

“Start Date” means the date your ordering / acceptance occurs and Services or Subscription period commences.

“Billing Cycle” means the recurring interval (usually monthly) at which your Subscription payment is due.

1.2 Unless the context requires otherwise,

Words in the singular include the plural and vice versa.

A reference to a Clause or Schedule is a reference to a clause in these Terms.

Headings are for convenience only and do not affect interpretation.

2. Age & Eligibility

2.1 You confirm that you are at least 18 years old and capable of entering into a contract.
2.2 If you are entering into the contract on behalf of a child, you confirm you are the parent or legal guardian of the child and you accept and agree to these Terms on their behalf.
2.3 We do not provide services to children under 6 or over 17 within our Kids Coaching Services.

3. Applications, Assessment & Suitability

3.1 All prospective clients must complete our application process (including voice assessment, when applicable) and be accepted by us before commencing Services.
3.2 We reserve the right (at our sole discretion) to decline any application if we determine the client is not suitable for the requested Service.
3.3 For clarity, the Services do not include speech & language therapy; if you require a speech & language therapist you must seek an appropriately qualified professional.

4. Subscriptions, Memberships & Payment

4.1 Unless specified otherwise, all Services are provided on a Subscription basis (monthly recurring payments) until cancelled in accordance with Clause 10.
4.2 The minimum Programme cost (for our standard adult group Subscription) is £157/month (plus VAT if applicable). Premium Services and other tiers carry different monthly fees as advertised.
4.3 Payment is due on or around the same day of each calendar month (“Billing Date”) after the Start Date, via the payment method you provide.
4.4 You authorise us to charge your payment method on the Billing Date each month. If payment fails, we may suspend or terminate your access.
4.5 We may change the price of your Subscription upon renewal, provided we give you at least one full month’s notice before the new price applies.

5. What’s Included in Our Services

5.1 As standard for eligible adult and kids Subscriptions:

Free voice assessment (valued at £57 incl. VAT)

Weekly group sessions (for adult group Subscriptions)

Access to flagship courses: Public Speaking 101 and Accent Softening 101

Access to the “Elocution Plus” app

Unlimited feedback via video/audio

Monthly review call

Access to our community (articles, webinars)

Support via phone, email, WhatsApp and live chat
5.2 For Kids Coaching: weekly 1:1 sessions (unless otherwise stated) and all materials, prompts and examples provided in each lesson.
5.3 For Accelerator: includes weekly 30-minute 1:1 session (instead of monthly 30-minute 1:1) and any premium benefits advertised.
5.4 For Membership Services: self-led access only; live 1:1 or group coaching may be offered only as optional upgrade (and then subject to additional fees).
5.5 We reserve the right to modify or replace elements of the Services from time to time, provided equivalent value is maintained and notice is given where required.

6. Order, Acceptance & Commencement

6.1 Your order constitutes an offer to purchase the Services under these Terms. We will confirm acceptance of your order by sending an order confirmation email. Only at that point does a contract come into existence between you and us.
6.2 We will endeavour to commence your Services within 2-3 working days of acceptance or within a reasonable period. Time is not of the essence.
6.3 We may decline or cancel your order at our sole discretion (for example, if we determine you are not eligible or the payment cannot be processed). If we do so, any payment taken will be refunded within 14 calendar days.

7. Cooling-Off & Cancellation Rights – Consumers

7.1 If you are a consumer (not entering into the contract for business purposes) in the UK or EU, you have the right to cancel within 14 calendar days (“cooling off period”) starting on the date of our order confirmation.
7.2 If you request the Services to start during the cooling-off period and we comply, you acknowledge that your cancellation rights may be limited:

If Services are fully performed within the 14 calendar days you lose your right to cancel.

Otherwise, if you cancel after Services have commenced, you must pay for Services up to the cancellation date proportionately. Any refund will be made within 14 calendar days after your cancellation notice.
7.3 After the 14 calendar day period has expired, cancellation is governed by Clause 10 (Termination) and any specific terms applicable to the Service purchased.

8. Ongoing Subscriptions & Auto-Renewal

8.1 Unless you notify us that you wish to cancel (see Clause 10), your Subscription will automatically renew each month on the Billing Date and you agree to pay the recurring fee.
8.2 We will provide you with reasonable notice of any material changes to your Subscription (including changes in price or terms) and you will have the right to end the Subscription before a new cycle begins if you do not agree.

9. Refunds & Changes

9.1 We aim for your satisfaction with the Services. If you believe the Services do not conform to your order, you must notify us in writing within 5 working days of the issue arising to allow us to correct it.
9.2 If we agree there is a material failure on our part, we will provide a refund, credit or further service at our discretion.
9.3 We do not guarantee particular results (such as voice change, international accent reduction, immediate public speaking mastery). Results vary by individual.
9.4 For Subscriptions, payment for the period up to your cancellation (or our termination) remains payable and no refund will be given for unused portions except at our discretion.

10. Termination & Cancellation of Your Subscription

10.1 You may cancel your Subscription at any time by providing written notice (via email to office@theelocutioncoach.com
 or as specified in your contract). Your cancellation will take effect at the end of the then-current Billing Cycle.
10.2 We may terminate or suspend your access to the Services immediately if you:

commit a material breach of these Terms;

fail to pay the Subscription fee when due;

behave inappropriately or unreasonably (including misuse of systems or materials);

in the case of Kids Coaching, if the child client is no longer eligible (e.g., turns 18) or fails to meet required participation criteria.
10.3 On termination or cancellation:

You will lose access to the Services and any live sessions after termination date;

You remain liable for any fees due up to the date of termination;

We may retain certain access (e.g., membership archive) at our discretion.
10.4 If we terminate your contract for our convenience (not your breach), we will provide you with pro-rata refund for any paid but unused portion of your Subscription.

11. User Conduct & Access to Systems

11.1 You agree to use our Services and Website in accordance with any rules we provide (including to Accounts and System access).
11.2 You must not:

use obscene, vulgar, harassing, abusive, defamatory, ageist, sexist or racist content;

impersonate another person or misrepresent your identity;

submit content that promotes violence or illegal activity;

use our Systems for spam, junk mail or unauthorised mass communication;

share your Account credentials;

otherwise behave outside of normal, respectful, lawful conduct.
11.3 We reserve the right to monitor usage of our Systems and you waive any moral right to be named as author of communications you send via our System.
11.4 If you are asked to provide updated Account information (including Payment Information), you must do so promptly and keep your Account details accurate.

12. Intellectual Property

12.1 Except for content uploaded by you, all content on the Website (text, graphics, logos, images, videos, software, data compilations) is the property of The Elocution Coach Ltd, its affiliates or licensors and protected by UK and international intellectual property laws.
12.2 You may not reproduce, copy, distribute, store or reuse such material unless expressly permitted by us or by law.
12.3 Where third-party intellectual property (e.g., in course materials, videos) is included, you must respect the owner’s rights and not reproduce, copy or distribute that material unless permitted.
12.4 You are granted a limited, non-exclusive, non-transferable licence to access and use the Services for your own personal or (if a business) internal business use, subject to these Terms.

13. Links & External Sites

13.1 Our Website may contain links to external websites. These are provided for your convenience and we do not control and are not responsible for the content of external sites.
13.2 Linking to our Website is permitted only to our homepage, unless you obtain our prior written permission for deep-linking.

14. Our Liability & Disclaimers

14.1 We make no representation or warranty that:

The Website or Services will meet your specific requirements;

The Services will result in a particular outcome or guarantee voice/ accent/ public speaking success;

The Website will be compatible with all devices, uninterrupted, secure or error-free.
14.2 To the extent permitted by law, we exclude all liability for:

indirect, incidental, special or consequential losses;

loss of profits, revenue, business opportunities or data;

losses arising from your use of the Website, Services or materials.
14.3 Nothing in these Terms limits our liability for death or personal injury caused by our negligence, fraud or wilful misconduct, or any other liability which cannot by law be excluded.
14.4 If any part of these Terms is found to be invalid or unenforceable in a jurisdiction, the remainder shall remain in force.

15. Price Changes, Changes to Services & Availability

15.1 We reserve the right to change the pricing, or vary/withdraw any part of the Services, either immediately or with prior notice where required by law.
15.2 Availability of Services is not guaranteed. We may suspend, restrict or discontinue Services or parts of them (for maintenance, upgrades or other business reasons).
15.3 If we do so you may be offered alternative arrangements or refunds/credits at our discretion.

16. Privacy & Data Protection

16.1 Our collection, use and processing of your personal data is governed by our Privacy Policy which is incorporated into these Terms.
16.2 By entering into this contract you consent to our use of your personal data for:

providing the Services to you;

processing payments;

communicating with you about our Services;

(with your consent) marketing other services.
16.3 We will not share your personal data with third parties except as required for the performance of the contract, legal obligations, or with your consent.
16.4 If you wish to stop receiving marketing communications you may unsubscribe at any time.

17. Communications & Notices

17.1 All notices to us must be sent by email to office@theelocutioncoach.com
 or by post to our registered address and will be deemed received:

On the day of email if sent on a business day;

Next business day if sent on a weekend or public holiday;

After 3 days if sent by first-class post.
17.2 We may send you notices by email to the address you provided, or by posting on our Website. You are responsible for keeping your contact details current.

18. Entire Agreement & Amendments

18.1 These Terms (together with any Specific Terms you agree and our Privacy Policy) constitute the whole agreement between you and us regarding the Services.
18.2 Any previous terms or agreements are superseded.
18.3 We may amend these Terms at any time. The amended Terms will apply to you from the first time you use the Services after we publish the change (we will use reasonable efforts to notify you of major changes). If you do not agree you may cancel under Clause 10 before the change takes effect.

19. Third-Party Rights

19.1 No person other than you and us has any right to enforce any of these Terms (whether under the Contracts (Rights of Third Parties) Act 1999 or otherwise).
19.2 Our subsidiaries or affiliates may exercise rights under these Terms.

20. Governing Law & Jurisdiction

20.1 These Terms and your relationship with us shall be governed by and construed in accordance with the laws of England and Wales.
20.2 You and we agree to submit to the exclusive jurisdiction of the English courts.

21. Special Terms for Kids Coaching (Supplemental)

21.1 All references to “you” in this Clause mean the parent or legal guardian subscribing on behalf of the child client.
21.2 You confirm the child is aged 6 to 17 inclusive and is eligible for the Kids Coaching Services.
21.3 You authorise us to provide the Services to the child and you agree to ensure the child participates appropriately and uses materials as directed.
21.4 If the child client turns 18 during the Subscription, you agree to inform us and we may convert the Subscription to adult terms or terminate it.
21.5 You are responsible for supervising the child’s use of the Services, ensuring safe and appropriate access, and complying with these Terms.
21.6 Cancellations or refunds for Kids Coaching follow Clauses 7, 9 and 10, unless we state otherwise in specific Kids Coaching terms.

22. Interpretation & Severability

22.1 If any provision of these Terms is held to be invalid, illegal or unenforceable, the remaining provisions will remain in full force and effect.
22.2 The headings are for convenience only and do not affect interpretation.

23. Acknowledgements

23.1 You acknowledge that you have read, understood and agree to be bound by these Terms and any Specific Terms applicable to your chosen Service.
23.2 You acknowledge we have relied upon your representations in this contract (for example, about your age, eligibility, accuracy of information) and that we may rely on them if there is any dispute.
